The enclosed terms of and all associated offerings, related terms and content presented at [“the website”] carbuyingmachine.com should be considered to be covered by these [“Terms & Conditions”].

These terms & conditions cover accessing all digital services provided by CarBuyingMachine, regardless of device or platform used to access the services. This includes all apps, websites, connected services and any mechanism that can be termed as being under the CarBuyingMachine operating environment.

These Terms & Conditions outline the basis on which all users are permitted to use the website and [“the Services”] available on the website, such as the online vehicle valuation tool.

These Terms & Conditions and any disputes or claims arising out of, or in connection with, its subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the law of Scotland.

We also reserve the right to amend these terms and conditions and our linking policy at any time. Where a previous agreement is in place, some services may be exposed to third parties for operation under a white-label or other previously agreed basis. Accessing these services without consent of CarBuyingMachine is strictly prohibited.

Permitted Use of the website and all associated services

The CarBuyingMachine website, and embedded services such as the online vehicle valuation tool, was created to permit private individuals or businesses to obtain a valuation of their vehicle and to offer the opportunity to request an appointment with one of our buying agents to view the vehicle.

Permitted use of the online vehicle valuation tool is only for the purposes of gaining a valuation for use by CarBuyingMachine. Using this and other services of CarBuyingMachine for commercial purposes, or to barter with other vehicle buying organisations is strictly prohibited.

Our website and online vehicle valuation tool have in-built data, behavioural analytics and usage monitoring to flag and prevent unauthorised use of our systems. This includes volume use, repetitive usage and automated scraping of content.

We reserve the right to take action on any misuse of the website. This includes:

• taking reasonable precautions to limit use by end users individually or collectively by user account or IP address (including IP address ranges)
• recovering costs from any unauthorised high volume usage
• recovery of costs associated with surreptitious or unauthorised use of the website or services

We reserve the right to block access to the website by any individual or third party organisation through our in-built platform features and other monitoring and access management tools we deem necessary.

Please contact us if you feel your access to the website has been incorrectly limited.

Valuation Tool and Vehicle Purchase

Any valuation generated by CarBuyingMachine is based on the information you tell us about your vehicle and on the following general assumptions we make about your vehicle:

• It has two sets of keys
• It isn't a non-runner
• It doesn't have a personalised reg plate. We can still buy it if it does, but you are responsible for removing the plate and any retention fees associated in advance of completing the selling of your vehicle
• It has no damage, including interior or mechanical (unless otherwise stated)
• It is a UK registered vehicle and it is not an import
• It has never been the subject of an insurance write off or used as a private hire, rental, driving tuition or police vehicle
• It has over 45 days MOT
• There are no dashboard or other warning lights illuminated including (but not limited to) engine management, oil service light, ABS, traction control or similar which may be considered a defect

You can disclose or describe any material condition defects, flaws or faults to amend any of the assumptions and provide us with some further detail about the condition of the vehicle during the valuation steps.

We always carry out an in-person inspection of the vehicle before we agree to buy it. After you have received an online vehicle valuation, you may request an appointment with an agent on behalf of CarBuyingMachine. At this stage, you may, subject to discussing this with your agent, submit photos and/or video clips to assist both parties.

Following initial online valuation, we reserve the right to decline an in-person valuation visit from one of our CarBuyingMachine agents. We are not obligated to provide a reason for declining the inspection visit, but will endeavour to provide details of our decision-making.

If, during an agent inspection appointment, we consider that the value of the vehicle is affected by any element of its condition, ownership or service history, including any unusual feature, modification or customisation, or anything that affects or limits the assumptions we made about the vehicle, which was not evident when we gave the online valuation, the price that we may be willing to pay for it can be altered at this time.

We are not obliged to purchase any vehicle and may choose not to do so once inspected by our agent at your appointment.

Valuation duration

Subject to our inspection of the vehicle the price estimated is valid for 5 working days and no more than 48 hours after our agent has viewed the vehicle. If there is a significant change in the valuation of your vehicle during these 5 working days, your assigned CarBuyingMachine agent will contact you to discuss.

Offer to Purchase Contract

A binding agreement to purchase the vehicle will only be made between us once you have signed a written purchase invoice with our agent.

Payment

We will pay the agreed price by same day BACS transfer on the day of collection.

To qualify for this payment, you must be the registered keeper and have all required documentation to complete the sale.

Outstanding finance will be settled directly with the lender, also by same day BACS.

Where finance is outstanding, CarBuyingMachine will pay you the difference after the finance is settled in full.

Should the finance amount be greater than the price offered, we will require cleared funds for the shortfall before we will pay the lender, we will pay the outstanding finance in full on the same working day as we receive the full amount of shortfall from the seller.

Transaction Fees

CarBuyingMachine does not charge you a transaction fee.

Collection of the Purchased vehicle

At the time of handover, we will expect you to provide us with:

• Your vehicle in exactly the same condition as when our agent undertook a valuation inspection;
• all of the vehicle's keys you have;
• the vehicle's registration document (together with appropriate proof of purchase if required by us);
• any vehicle service history;
• proof of the vehicle's MOT status;
• any vehicle user manuals; and
• any accessories there may be such as a locking wheel nut, SD card or sat nav disc, radio fascia or remote controls.

In the event that you fail to comply with any or all of these hand-over requirements, you agree that any offer from CarBuyingMachine to purchase your vehicle may be withdrawn immediately, the Offer to Purchase Contract will be terminated with immediate effect. CarBuyingMachine can opt to offer a revised price taking into account the degree to which the above conditions are satisfied in line with motor trade norms. If the offer is withdrawn in line with the above conditions, and an agreement cannot be reached, your vehicle will be returned to you, subject to all monies paid being refunded in full.

License

Unless otherwise stated, Car Buying Machine Ltd and/or its licensors own the intellectual property rights for all material on CarBuyingMachine. All intellectual property rights are reserved. You may access this from CarBuyingMachine for your own personal use subjected to restrictions set in these terms and conditions.

You must not:

• Republish any material from CarBuyingMachine
• Sell, rent or sub-license material from CarBuyingMachine
• Reproduce, duplicate or copy material from CarBuyingMachine
• Redistribute content from CarBuyingMachine
• Use any screen scraping, robotic process tools or any other automated software to capture data or content from our services
• Attempt to gain unauthorised access to the website, its hosting platforms, or any access-restricted areas of the website
• Use the website for illegal, abusive, fraudulent or offensive ends
• Try to decrypt or decompile any element of the technology or reverse engineer any of the services
• Use our services as a data source or price-checking for any other third party service, or
• Do anything on our website or services that compromises the enjoyments or integrity of the experience provided by CarBuyingMachine and all its associated platforms and services.

Disclaimer & limitation of our liability

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. Nothing in this disclaimer will:

• limit or exclude our or your liability for death or personal injury;
• limit or exclude our or your liability for fraud or fraudulent misrepresentation;
• limit any of our or your liabilities in any way that is not permitted under applicable law; or
• exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort and for breach of statutory duty.

Our agents agree to meet with you at a mutually agreed location. We are not liable for any costs, loss or damage caused by you or our agents travelling to meet for a valuation appointment.

We are not liable for any loss or damage as a result of our agents inspecting your vehicle in line with motor trade standards.

We are not liable for any loss or damage as a result of our agents accessing your property or premises to view your vehicle.

As long as the website and the information and services on the website are provided free of charge, we will not be liable for any loss or damage of any nature.
